Sr Corporate Law Analyst
The Sr Corporate Law Analyst is an experienced position, competent to work independently and as an expert in specialized areas of insurance compliance, corporate governance and legal entity administration.~crlf~The Sr Corporate Analyst will:~crlf~##Perform advanced administrative and analytical tasks proficiently with only general instruction and will work independently to administer and continually renovate the Corporate Regulatory Compliance function~crlf~##Identify and submit proper Holding Company Act filings to applicable regulators by deadlines~crlf~##Detailed corporate administration and compliance activities, regulatory research and use of fully developed subject matter expertise and technical knowledge~crlf~##Use good judgment, initiative and problem solving skills~crlf~##Ongoing corporate restructuring issues and project work with limited resources~crlf~##Increasing requirements from regulators in terms of reporting and processes
##Holding Company Act Administration-Solicit and process intercompany agreements for regulatory approval~crlf~##Draft and file prior approval requests with oversight/assistance of sponsor as necessary~crlf~##Respond/coordinate response to DOI info requests as necessary~crlf~##Maintain status reports of all filings~crlf~##Plan, draft and file annual registration statements in all states of domicile~crlf~##Coordinate collection of required attachments and appendices~crlf~##Independently draft procedures/processes for administration of annual registration statement filings~crlf~##Research and update procedures based on changes in laws and regulations~crlf~##Maintain current up to date procedures~crlf~##Review and maintain Service Level Agreements related to Group Agreements~crlf~##Maintain an accurate intercompany org chart~crlf~##Maintain schedule of intercompany transaction limits applicable to all legal entities. ~crlf~##Assist with corporate transactions including drafting and proofing documents and applications~crlf~##Coordinate activities attendant to complex mergers, acquisitions, divestitures and dissolutions; process/obtain corporate and GMAC approvals as needed~crlf~##Form and dissolve of legal entities~crlf~##Draft legal closing documents for complex strategic transactions~crlf~##Perform research and analysis of statutory, regulatory and case law in federal and all state jurisdictions relating to corporate and other general business matters~crlf~##Research, document and ensure compliance with statutory and regulatory requirements related to the corporate administration of the AGCS NA legal entities~crlf~##Respond to regulators’ requests for information regarding corporate structuring changes, and various corporate and insurance matters ~crlf~##Research, document and ensure compliance with statutory and regulatory requirements related to the corporate administration of the AGCS NA legal entities~crlf~##Retain and organize all significant corporate transactional documents and records in accordance with document retention policies~crlf~##In coordination with North American OE colleagues, update and process the annual Form F~crlf~##Update and process the Corporate Governance Annual Disclosure~crlf~##Oversee review and approval of Corporate Rules and Policies~crlf~##Assist the AGCS NA Governance Caretaker in the oversight of AGCS NA System of Governance and the evaluation of the effectiveness of the 23 system of governance elements~crlf~~crlf~
##Bachelor Degree: Bachelor's Degree or equivalent work experience~crlf~##Minimum of 5-7 years of experience as corporate paralegal/regulatory compliance professional~crlf~##Minimum 5 to 7 years: Superior level of expertise in MS Word, MS Excel, MS PowerPoint, MS Project, Lotus Notes and any additional programs needed to be effective in the position~crlf~##Minimum 5 to 7 years: Ability to think independently with solid judgement and the ability to honestly and respectfully communicate ideas and differing opinions related to day to day workflow and processes~crlf~##Minimum 5 to 7 years: Ability to multi-task and operate accuratley and effectively in a high-volume, deadline oriented environment~crlf~##Expert knowledge of a breadth of substantive legal disciplines, including insurance and corporate~crlf~##Advanced legal knowledge across multiple states and jurisdictions in which AGCS NA operates~crlf~##Understanding of regulatory and compliance environment - including relevant policies, laws and regulations - across multiple jurisdictions~crlf~##Knowledge of corporate law and regulation of the legal entity.~crlf~##Advanced: Analytical Skills: Ability to analyze complex data, from multiple sources, in detail~crlf~##nterpersonal Skills: Organized and detail oriented; effective and patient communicator, extremely discrete, ability to perform under pressure; ability to work as a contributing team member in a macro environment involving interaction with different areas and levels of the organization~crlf~##Ability to Multitask: Manage more than one project simultaneously in an organized and timely fashion~crlf~~crlf~
