Senior Legal Counsel - ART, New York
##Manage and support the legal transactional affairs of Alternative Risk Transfer (ART) and Capital Solutions (CapSol), particularly US insurance and reinsurance transactions and regulatory matters.~crlf~##Negotiate and draft (re)insurance wordings, as well as all ancillary documentation (trusts, commutations, etc.). ~crlf~##Support and foster good governance within the existing Underwriting Governance framework. ~crlf~##Provide expert advice and counsel on regulatory, compliance and collateral issues in line with ART LoB Legal quality and legal and compliance standards.~crlf~##Advise global teams on US regulatory issues, particularly in relation to non-US domiciled entities.~crlf~##Monitor and assess legal and regulatory issues and developments and propose appropriate responses to changes.
##Support the global business teams of the ART and CapSol LoB business units in the negotiation and execution of transactions and other deal-related activities, with a focus on US domestic and international insurance, reinsurance transactions and producer arrangements.~crlf~##Utilize legal subject matter expertise in the negotiation and execution of transactions and pro-active management of all relevant legal aspects, including management of external counsel, where appropriate.~crlf~##Respond to and coordinate responses to disputes and litigation arising out of the business of ART and CapSol.~crlf~##Provide support as above, for other business areas, such as Claims, as required and requested.~crlf~##Provide advice and counsel to the global Underwriting teams and key stakeholders (including non-US domiciled insurance companies) concerning regulatory and compliance issues in line with ART LoB Legal quality and applicable legal and compliance standards, particularly as regards (re-)insurance transactions and regulations in respect of North America.~crlf~##Provide oversight on and ensure proactive and timely analysis, communication and implementation of agreed actions by the team in relation to current regulatory issues and expected future regulatory changes.~crlf~##Support and foster good governance within the existing Underwriting Governance framework and help to further develop this framework.~crlf~##Perform legal reviews and sign-offs.~crlf~##Contribute to the best practice standard setting of ART and CapSol Legal team in a highly complex environment. ~crlf~##Participate in Underwriting Committees when required;~crlf~##Coach Underwriting community and provide training, as well as functional guidance, for management and the business on pertinent subject matters, setting a positive example of good business judgement and corporate behavior.~crlf~##Monitor and assess legal and regulatory issues affecting ART and CapSol and provide legal and general advice regarding designated legal and regulatory issues, with a focus on issues affecting insurance, reinsurance and insurance distribution, in particular in respect of North America. ~crlf~##Proactively propose appropriate changes to ART and CapSol business and set-up in response to regulatory developments in alignment with ART LoB Legal Team.~crlf~##Update internal policies, including Operating Guidelines, as necessary to ensure compliance with changes to regulation.~crlf~##Regular exchange and collaboration with AGCS Legal and Compliance (L&C), in particular AGCS NA L&C, maintaining regular dialogue with relevant AGCS L&C Team peers and provide substantive assistance to AGCS L&C teams. ~crlf~##Maintain network with broader legal community of AGCS L&C (providing legal support as required, in consultation with relevant manager) and Allianz Group counsel. ~crlf~##Ensure good knowledge transfer of relevant issues to other members of ART and CapSol/AGCS Legal Group (e.g., material developments in laws and best practices for ART and CapSol Legal Group).~crlf~~crlf~
##7+ years of relevant experience in financial services industry as in-house counsel and/or in a law firm with general experience in legal, corporate, regulatory and compliance matters and key advanced experience in relevant skillsets for transactional support;~crlf~##Advanced knowledge and understanding of handling complex financial transactions; ~crlf~##Demonstrable expertise in managing legal aspects that affect complex, multi-jurisdictional insurance and reinsurance transactions (including advanced knowledge in cross border (re-insurance regulatory matters); ~crlf~##Transactional experience in negotiating, structuring and executing complex transactions, as well as performing work-outs and managing litigation;~crlf~##Effective interaction in cross-location and cross-cultural team environment with strong client-orientation and high performance culture; ~crlf~##Ability to develop management and collaborative skills;~crlf~##Demonstrable ability to understand technical and compliance matters that require escalation or greater oversight;~crlf~##Understanding of corporate, regulatory, and compliance landscape and their impact on ART & CapSol, with a focus on the North American jurisdictions;~crlf~##High level knowledge of, and deal experience in, the core alternative risk transfer transactions forms (primary focus on insurance and reinsurance);~crlf~##Ability to understand risk profile and handle complex ART and CapSol transactions in all legal, regulatory and compliance dimensions;~crlf~##Corporate governance expertise with primary focus on the North American jurisdictions;~crlf~##Understanding of the role of the L&C Team as control function and participate in risk management;~crlf~##Professional with sound and independent judgement as well as strong analytical skills~crlf~##Ability to analyze, prioritize and resolve complex issues in a multi-jurisdictional environment;~crlf~##Effective communication and negotiation skills to negotiate externally (e.g., regulators, litigation on global level) and internally (Allianz stakeholders); ~crlf~##Ability to express ideas and messages, in both written and oral form, clearly and appropriately with regard to the audience;~crlf~##Strong client-orientation;~crlf~##Ability to identifying relevant issues, taking initiative and ownership in achieving resolution, using a collaborative approach;~crlf~##Solid business acumen and understanding of finance; and~crlf~##Juris Doctorate, with a preference for bar admission.~crlf~~crlf~
