What you do:

Reporting to the Vice President, Deputy General Counsel, this position will assist in providing legal services primarily with respect to all phases of the distribution of our fixed index annuity, variable annuity, and life insurance products.

 

This role will provide timely, efficient and practical legal advice to our internal distribution areas responsible for managing sales through Field Marketing Organizations, General Agents, Independent Agents, Broker-Dealers, and Registered Investment Advisors. Additionally, this role will provide legal support to Enterprise Producer Services, Ethics and Compliance, Finance, Risk, and Growth and Marketing business partners concerning legal, regulatory and contractual issues and associated risks. Legal support will involve providing counsel on insurance and broker-dealer legal and regulatory requirements, corporate policies and procedures, best practices, sales contracting, marketing support agreements, agent and entity licensing, and strategies to minimize legal and regulatory risk. This role involves the drafting and review of selling and marketing support agreements between the company and our distribution partners.

 

  • Provide business partners with proactive advice, educational information, and counsel regarding legal and regulatory requirements related to the distribution of annuity and life insurance products, including sales conduct matters, agent training, advertising and marketing review of communications to distribution partners, and agent and entity contracting and licensing.
  • Serve as the legal representative on various internal committees involving regulatory change impact to the company (e.g. standard of care and NAIC Model regulations), agent conduct oversight, and distribution partner due diligence.
  • Advise our wholesale broker-dealer on FINRA, SEC, and other relevant regulatory requirements pertinent to the wholesaling and distribution of our variable annuity suite of products, including matters pertaining to execution of our compliance program, supervision of registered employees, books and records requirements, know your customer and distributor regulation, variable annuity and ETF wholesaling, and the impact of broker-dealers mergers.
  • Advise on and draft general agency agreements, selling, and marketing support agreements and loan agreements for our internal distribution and relationship management partners.
  • Work cross-functionally with business leaders to translate legal and policy requirements to our business partners to position sales compliance and contracting/licensing as a competitive advantage that can drive business growth and customer loyalty.
  • Serve as a subject matter expert on state insurance regulations, including familiarity with NAIC Models, market conduct trends and issues in all fifty states, NY Reg 60 and 187.
  • Advise compliance, special investigations and our litigation partners on sales conduct investigations, complaints and litigation arising from the distribution of our products.
  • Influence the development and execution of distribution growth initiatives while ensuring compliance with relevant laws and regulations.
  • Work closely with our Law Change Management team, Ethics, and Compliance partners as they monitor proposed and enacted regulation/legislation and guide the business as they assess potential impact.
  • Engage with our internal government relations team, federal and state trade organizations (such as ACLI, IRI, LICONY) and internal subject matter experts on proposed and enacted legislation/regulation affecting the distribution of our products.
  • Manage outside counsel and third party consulting firms on discreet projects

 

What you bring:

 

Minimum Requirements:

 

  • 8-10 years experience advising an insurance company, broker-dealer and/or financial services company
  • Law degree from ABA accredited law school
  • Licensed to practice in Minnesota or ability to obtain a Minnesota license within 6 months of hiring

 

Preferred:

 

  • Experience counseling business partners on federal, state (including NAIC Models) sales conduct and distribution requirements applicable to the distribution and administration of our fixed indexed and variable annuities and life insurance products, including sales suitability and annual suitability certifications, selling and marketing support agreements, agent contracting and licensing.
  • Experience working with field marketing organizations, general agents, brokerage agencies, broker-dealers and registered investment advisors.
  • Experience guiding broker-dealers on FINRA and SEC requirements including sales conduct, books and records, training/continuing education, electronic communications, advertising, and the use of social media.
  • Experience tracking and analyzing proposed and enacted regulations, laws and educational bulletins and advising business partners on the potential impact to the company.
  • Understanding of how the distribution of annuities and life insurance is evolving through different distribution channels (FMO, BD, RIA, employer markets), the increasing use of fintech, electronic/digital processing and data aggregators.
  • Experience engaging with national and local trade organizations and working collaboratively with business partners to educate and advocate on matters critical to the company.
  • Ability to foster strong working relationships and become a trusted business partner by exhibiting a deep understanding the business and a commitment to continuous learning.
  • Ability to gain support and consensus with multiple stakeholders across all levels of the company.
  • Excellent oral and written communication skills, including strong presentation and project management skills.
