Allianz Life is seek a highly motivated collaborative attorney to be a member of the Corporate and Product legal team. This position will include providing legal support for corporate transactions including mergers, acquisitions, divestitures, investments, vendor agreements and reinsurance agreements, with an emphasis on reinsurance work. In addition, the position includes providing legal support on insurance projects and regulatory issues, as needed. This individual will work closely with various members of the legal department as well as other cross-functional groups. The position is located at Allianz Life's corporate headquarters in Minneapolis, Minnesota. It is anticipated that this role will be working in a hybrid environment with approximately 60% percent of time spent in the office.

 

What you do:

  • Provide high quality legal services on a timely and cost-efficient basis
  • Manage and provide legal support for corporate transactions, including mergers, acquisitions, and divestitures
  • Support negotiation, drafting, and review of reinsurance agreements, investment agreements and vendor agreements
  • Actively participate as the legal representative on core project teams
  • Assist with corporate governance and operational matters related to corporate transactions
  • Advise on legal and regulatory requirements, corporate policies and procedures, best practices, and strategies for managing risk as part of a multi-national organization
  • Analyze business plans and initiatives to identify legal risks, and advise clients on findings and mitigation strategies, including completing legal research related to plans and initiatives
  • Prepare memoranda, legal agreements, regulatory filings, and other documents
  • Work cross functionally with other attorneys to provide holistic legal advice
  • Direct and coordinate outside counsel as needed What you bring:
  • Law degree from ABA accredited law school
  • Licensed to practice in Minnesota (or qualify to waive in)
  • 4+ years of experience with a Law Firm, Governmental or Administrative Agency or as in-house counsel
  • 4+ years of experience in corporate transactions
  • Experience in advising on general corporate governance matters
  • Detail oriented self-starter with strong organizational, communication and interpersonal skills
  • Inquisitive with an ability to navigate complicated and nuanced issues
  • Willingness to learn and expand legal knowledge in unanticipated areas and take on new challenges
  • Ability to manage and prioritize multiple projects

 

Preferred Qualification

  •  Experience at a Law firm, Governmental or Administrative Agency and/or as in house counsel working with insurance or financial services companies
  • Broad transaction experience representing various companies on a wide range of corporate transactions, including mergers and acquisitions, corporate governance, commercial transactions and vendor contracting
  • Familiarity or experience in reviewing, drafting and negotiation of life and annuity reinsurance agreements
  • Experience in investment transactions, particularly in minority investments in the early growth stage companies.
