Allianz Reinsurance America, Inc. (“AZRA”) is seeking a Senior Paralegal with a minimum of 5-10 years of paralegal experience to handle insurance regulatory compliance, corporate governance, and financial and reinsurance transaction matters. The Senior Paralegal would join the AZRA Legal Department, reporting to the Head of Corporate Legal and Regulatory and Corporate Secretary. The position will be assigned to the Company’s headquarters in Northern California,  but is offered as a remote position.

AZRA is a small, specialty niche reinsurer, domiciled in California and licensed as an admitted insurer in 36 states (including District of Columbia) and is a qualified, accredited or approved reinsurer in fifteen states. AZRA’s business focus is legacy reinsurance and run-off management of U.S. legacy insurance liabilities for Allianz Group affiliates and third parties including third party claims administration and reinsurance of asbestos & environmental, workers compensation, general liability and excess and construction defect liabilities as well as prospective reinsurance for strategic transactions. What you do:

Experienced level position, competent to work in specialized areas of the legal department. Incumbents perform advanced legal tasks proficiently with general instruction. The work typically involves detailed legal research and use of fully developed subject matter expertise and technical knowledge. Regular assignments are performed with minimal instruction; new assignments are performed with general instruction and supervision. Incumbents must use good judgment, initiative and problem solving skills.

 

Main Tasks may include:

  • Perform legal research and analysis of statutes and regulations in federal and all state jurisdictions relating to insurance, reinsurance, corporate law,  compliance and other general business issues
  • Assist attorneys in the development of strategic legal advice for clients based on a thorough analysis of law researching the law and corporate external documents including review of contracts and prior research
  • Research and draft state-by-state surveys, memoranda and summaries that are clear and concise
  • Review and draft corporate organizational documents, resolutions, committee charters, etc.
  • Handle insurer, reinsurer, independent adjuster, third party administrator, producer and reinsurance intermediary licensing
  • Liaison with business partners and external counsel
  • Conduct preliminary viability searches for insurance business entity names, tradenames and trademarks and track renewals
  • Compile reports
  • Special projects as requested

 

Insurance Regulatory Compliance:

  • Prepare and file Insurance Holding Company Act regulatory filings, including certificates of authority, biographical affidavits, and annual registration statements
  • Prepare, update, and maintain corporate records and files
  • Prepare and provide supporting documentation to international affiliates and State Insurance Departments for licensing requirements
  • Coordinate projects involving input from various company departments

 

General Corporate:

  • Assist with corporate transactions including obtaining sensitive documents
  • Prepare legal documents for mergers, acquisitions, and dissolutions, corporate restructurings, dividends, capital contributions
  • Formation of legal entities
  • Draft legal closing documents
  • Distribution of transactional documents
  • Prepare and handle form documents, certificates, registrations and filings
  • Perform research and analysis of statutory, regulatory and case law in federal and all state jurisdictions relating to corporate and other general business matters

 

What you bring:

  • Minimum of 5-10 years of experience as corporate paralegal
  • Minimum of 5 years of experience of experience with Insurance Holding Company Act compliance
  • Paralegal certificate or equivalent to meet California B&P Code 6450
  • Superior level of expertise in Office 365, MS Word, MS Excel, MS PowerPoint, MS Project, and any additional programs needed to be effective in the position
  • Ability to think independently with solid judgement and the ability to honestly and respectfully communicate ideas and differing opinions related to day to day workflow and processes
  • Bachelor's Degree or equivalent work experience
