Job Purpose/Role
The Regional Head of Legal - North America will oversee, coordinate, manage and advise on all aspects of legal and regulatory affairs of Allianz Global Corporate & Specialty (AGCS) and its branch offices and subsidiaries in North America to ensure the protection of AGCS's legal rights and enable its strategic business development in
compliance with applicable laws and regulations.

 

Key Responsibilities
The Regional Head of Legal North America will specifically:

  • In close collaboration with the Global Head of Legal and the global leadership team, provide strategic

direction and set priorities for the Legal function and implement an appropriate organizational setup in
North America. Lead and manage the NA Legal team.

  • As member of the Executive Management Team and in collaboration with other senior managers and key governance functions, contribute to defining the strategic priorities of AGCS NA with a focus on legal, regulatory and governance aspects.
  • Identify legal risk areas and provide, or oversee the provision of, independent legal advice and support to the management, functions and employees of AGCS NA for relevant legal and regulatory matters in relevant jurisdictions. Key focus areas are: corporate law, insurance regulations, rate & form filings, insurance contract law, extra contractual litigation, employment law, IT law, data privacy, compliance-related regulations, commercial contracts and ancillary areas of law. Advocate AGCS positions to regulators.
  • Provide strategic direction with regard to matters of corporate governance as well as transactional legal matters for the legal entity structure and business within North America.
  • Ensure and coordinate the maintenance of legal entities within AGCS NA from a legal perspective, including company secretary services, licensing and form filings.
  • Provide, or oversee the provision of, transactional legal support for the AGCS infrastructure and business including corporate restructurings, regional expansion, strategic initiatives (e.g. digitalization), project activities, contract drafting/review for individual transactions across all functions, lines of business and jurisdictions.
  • Provide, or procure the provision of, legal support for the development and maintenance of standard policy and reinsurance wordings and other types of commercial contracts.
  • Handle, lead or oversee negotiation and steering of extracontractual or corporate litigation against AGCS NA and support the handling of HR and Compliance cases, including the performance of internal investigations.
  • Contribute to the provision of training on relevant legal and compliance matters to managers and employees within AGCS NA.
  • Support the business proactively and solution oriented in all business and change topics with legal implications.

 

Key Requirements/Skills/Experience

  • Law degree and admission to the bar in the US
  • 11+ years of practical experience in large OE within Allianz Group, law firm or Blue-Chip Company within the financial services industry
  • 7-10 years of demonstrable expert experience of corporate, supervisory and/or insurance law in relevant jurisdictions 
  • 7-10 years of proven experience handling complex legal matters and negotiations
  • 7-10 years of experience in various business scenarios (restructuring, integration, growth)
  • 7-10 years of experience of managing and developing global teams across numerous locations, desirable: working internationally, experience in managing project environments
  • Analytical Skills: Ability to analyze highly complex data, from multiple sources, in detail; identify and resolve issues before they transpire
  • Negotiation and conflict management: Ability to negotiate best position for AGCS, and client, often in contentious situations, managing conflicting priorities of various parties
  • Communication & Presentation: Ability to express ideas and messages clearly, both written and verbally
  • Coaching: Advise, instruct, direct, and guide as a coach to develop team's skills (with particular focus on technical, legal skills)
