Legal Counsel (f/m/d)
Allianz Capital Partners (ACP) is a global investment manager with an investment focus on inter alia infrastructure and private equity funds, involving both primary and secondary transactions, as well as co-investments alongside such funds directly into the underlying assets. ACP’s clients include domestic and foreign Allianz insurance companies, as well as third party funds for external institutional investors, which are managed by ACP as a regulated alternative investment fund manager (AIFM). The ACP investment management team is supported by a highly-specialised team of lawyers within ACP’s law department.~crlf~~crlf~As a member of ACP’s law department, and more specifically the PE/infrastructure fund team, you will lead the contractual negotiations with the relevant private equity and infrastructure fund managers and co-ordinate the investment activities of our clients. In doing so, you will work closely and independently throughout the entire process of each transaction together with investment teams in Munich, New York and Singapore, as well as other stakeholders within ACP and Allianz generally. In addition, you will be involved closely in the establishment of ACP’s third party (fund) products for external clients and the corresponding regulatory queries, and will also be a point of contact for our clients with respect to all legal queries.
##Independent legal support of the global fund investments and co-investments of our internal and external clients, ranging from the due diligence thereof and the negotiation of the underlying legal documentation through to the corporate structuring and co-ordination of the closing process~crlf~##Assistance with fund structuring and legal support of the ACP-managed third party (fund) products for external institutional investors~crlf~##Contact person for regulatory queries relating to investment and insurance supervisory law~crlf~##Negotiation of engagement letters and non-disclosure / confidentiality agreements, as well as the drafting of shareholder resolutions~crlf~~crlf~
##Fully qualified lawyer, e.g. German lawyer (Rechtsanwalt - both German State Examinations with a grade "vollbefriedigend" or above) or foreign lawyer with equivalent above-average qualification~crlf~##Several years of relevant professional experience, ideally in the area of “international funds and co-investments” and with solid knowledge in German/European regulatory and corporate law~crlf~##Professional working proficiency in both German and English~crlf~##Strong sense of own initiative and a proactive mindset~crlf~##You further distinguish yourself through the possession of a high degree of flexibility, an enjoyment of working in a dynamic environment and readiness to work in a team ~crlf~~crlf~
